Welcome to Xpress Tips, part of Portcullis Services. These Terms and Conditions ("Terms") govern your access to and use of the website located at https://thai-venues.xpresstips.uk (the "Platform"), operated by Portcullis Services ("we," "us," or "our"). By creating an account, accessing the Platform, or making any digital transactions, including processing tips, gratuities, or purchasing digital perks, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Platform.

1. Eligibility and Account Registration

Age Requirement: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to create an account or process any financial transactions on this Platform.

Account Security: When you register an account, you agree to provide accurate, current, and complete information. You are entirely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

2. Nature of Services and Platform Purpose

Digital Hospitality Hub: Portcullis Services operates as a commercial digital hospitality and entertainment community platform. The Platform allows users to connect with hospitality teams, unlock digital membership rewards, access exclusive VIP community perks, and engage with venue initiatives.

No Charitable Claims: Portcullis Services is a commercial enterprise. It is not a registered charity, non-profit organization, or crowdsourced fund. Payments made on this site are not tax-deductible as charitable donations.

3. Financial Transactions, Tips, and Gratuities

Payment Processing: All payments made through the Platform are processed securely via third-party payment gateways (including Stripe and PayPal). By submitting your payment information, you authorize our processors to charge the specified amount.

Gratuities and Voluntary Contributions: Users may choose to process voluntary digital tips or gratuities via the Platform to support hospitality teams, venue staff, or digital creators.

Finality of Transactions (No-Refund Policy):

CRITICAL PAYMENT NOTICE: All financial transactions executed on this Platform—including but not limited to digital tips, gratuities, VIP access fees, and community contributions—are voluntary, immediate, and completely **non-refundable**. Once a payment is authorized and confirmed via the blockchain or traditional credit/debit card networks, the associated digital service or recognition is considered fully rendered, and no reversals, cancellations, or refunds will be issued.

4. Venue Responsibilities

As a Venue using the Platform, you agree to the following responsibilities. These obligations are in addition to any other terms set out in this Agreement.

You acknowledge and agree that you are the employer for the purposes of the Employment (Allocation of Tips) Act 2023 (the "Tipping Act"), and that you are solely responsible for compliance with all obligations under that Act and any associated Code of Practice.

Specifically, you agree to:

4.1 Fair Allocation and Distribution

Fair Allocation: Ensure that all qualifying tips, gratuities, and service charges received through the Platform are allocated fairly between your workers at the relevant place of business.

Timely Distribution: Distribute all tips to your workers no later than the end of the month following the month in which the tip was paid. For example, a tip received on 23 June must be distributed by 31 July.

Written Tipping Policy: Maintain a written tipping policy where tips are paid on more than an occasional and exceptional basis, and make that policy available to all workers.

Worker Consultation: Consult with your workers when developing or reviewing your tipping policy, and review that policy at least every three years.

No Unlawful Deductions: Not make any deductions from tips that are prohibited under the Tipping Act, including any reimbursement provision that requires a worker to repay tips to you.

Record Keeping: Maintain accurate records of tips received and distributed for at least three years, as required by law.

4.2 Disputes and Chargebacks

Merchant of Record: You acknowledge that the Platform acts as the Merchant of Record for all transactions processed through the Service. Where a supporter initiates a chargeback, reversal, or payment dispute ("Dispute"), the Platform will be debited the full Dispute amount together with any associated fees charged by Stripe or the relevant card network.

Venue Liability: You agree that you are fully liable for any Dispute arising from a tip received through the Service, except where the Dispute arises directly from the Platform's own error, fraud, or gross negligence. This liability applies regardless of whether you have already withdrawn the tip funds.

Recovery of Disputed Amounts: You authorise the Platform to recover any Dispute amount, Stripe dispute fee, and any related costs by:

  • reversing or debiting the relevant transfer from your connected Stripe account;
  • deducting the amount from any future tips or payouts owed to you; or
  • issuing a direct invoice to you, payable within 14 days.

Cooperation: You agree to cooperate with the Platform in responding to any Dispute, including providing any evidence reasonably requested (such as proof of service, staff records, or customer communication) within the timeframe specified by the card network. Failure to cooperate, resulting in an unsuccessful dispute outcome, does not remove your liability under this clause.

Reserve: The Platform reserves the right to withhold a reasonable percentage of your tip funds as a reserve against potential Disputes, and to release that reserve once the risk of Dispute for the relevant transactions has passed.

4.3 Staff and Tip Attribution

Accurate Staff Information: You are responsible for ensuring that all staff member details added to the Platform (including names, roles, and photographs) are accurate and up to date.

Tip Attribution: You are responsible for ensuring that tips received through the Platform are correctly attributed to the intended staff member. The Platform provides tracking and reporting tools, but you remain responsible for the final allocation and distribution of tips to your workers.

Staff Consent: You confirm that you have obtained any necessary consents from your staff members for their information (including names and photographs) to be displayed on the Platform.

4.4 Supporter and Consumer Protection

No Exclusion of Statutory Rights: Nothing in these Terms or in your use of the Platform is intended to exclude or restrict the statutory rights of any supporter under the Consumer Rights Act 2015 or any other applicable consumer protection legislation.

Voluntary Tips: You acknowledge that tips made through the Platform are voluntary payments made by supporters. You must not represent tips as mandatory or as a substitute for fair wages.

4.5 Data Protection

Data Controller: You acknowledge that you and the Platform may each act as independent data controllers in respect of personal data processed through the Service. You are responsible for your own compliance with the UK GDPR and the Data Protection Act 2018.

Supporter Data: Any supporter data (including names, email addresses, and messages) shared with you through the Platform may only be used for the purpose of acknowledging and administering tips. You must not use such data for marketing purposes without obtaining separate consent.

4.6 Account Security

Credentials: You are responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account.

Notification: You must notify the Platform immediately if you become aware of any unauthorised use of your account or any other security breach.

Indemnity: You agree to indemnify and hold harmless the Platform, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your breach of these Venue Responsibilities;
  • your breach of any applicable law, including the Tipping Act;
  • any claim by a worker or supporter relating to tips received through the Platform; or
  • any Dispute or chargeback, except to the extent caused by the Platform's own error, fraud, or gross negligence.

The Platform reserves the right to suspend or terminate your access to the Service if you breach any of these Venue Responsibilities, with or without notice, and without liability to you.
